1. Agreement to These Terms

These Terms of Use (“Terms”) are a binding agreement between you (“you,” “your,” or “User”) and Cinovatech, Inc. (“Cinovatech,” “we,” “us,” or “our”) governing your access to and use of https://cinovatech.ai, any related staging or campaign sites we operate, and any content, features, or services made available through them (collectively, the “Site”).

By accessing or using the Site, submitting a demo or contact request, or otherwise interacting with the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.

If you use the Site on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” includes that entity.

Cinovatech provides enterprise resource planning (ERP) software and related services oriented to plastics and injection-molding manufacturers. The Site is primarily a business marketing and information channel, including requests for product demonstrations and sales conversations.

3. Eligibility

The Site is intended for business and professional users. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Site or submit information through it. You may not use the Site if you are barred from doing so under applicable law.

4. Nature of the Site; No Product License

The Site provides general information about Cinovatech, our products and go-to-market approach, and ways to request a demo or contact us. Content on the Site is for informational purposes and does not constitute a binding offer, quote, warranty, or commitment regarding product features, timelines, pricing, or performance.

Access to the Site does not grant you a license to use Cinovatech software products. Any purchase, trial, implementation, or use of Cinovatech products or professional services is subject to separate written agreements between you and Cinovatech (or an authorized partner), including order forms and a master subscription agreement.

5. Accounts, Demo Requests, and Communications

Certain Site features may allow you to request a product demonstration, download materials, or contact sales. You agree to provide accurate, current information and to update it as needed. You are responsible for any activity occurring through credentials we may issue to you (if any).

By submitting a form or requesting a demo, you consent to Cinovatech (and our service providers acting on our behalf) contacting you about your request and related Cinovatech products and services, including by email or phone, consistent with our Privacy Policy and applicable law. You may opt out of marketing emails as described in those messages or by contacting us.

6. Acceptable Use

You agree not to, and not to attempt to:

Use the Site in violation of any applicable law, regulation, or third-party right;
Scrape, harvest, crawl, or systematically extract data from the Site without our prior written consent, except as allowed by public search engines indexing publicly available pages;
Interfere with, disrupt, or impose an unreasonable load on the Site or our infrastructure;
Probe, scan, or test the vulnerability of the Site, or circumvent security or access controls;
Upload or transmit malware, ransomware, or other harmful code;
Impersonate any person or entity, or misrepresent your affiliation;
Use the Site to send unsolicited commercial messages (spam) or engage in phishing or fraud;
Reverse engineer, decompile, or attempt to derive source code from any non-open-source software on the Site, except to the extent such restriction is prohibited by law;
Use automated means to submit forms or create accounts in a manner that mimics human activity for abusive purposes;
Frame or mirror the Site without our prior written consent.

We may investigate violations and suspend or terminate access, remove content, or take other appropriate action, including referring matters to law enforcement.

7. Intellectual Property

The Site and all content, trademarks, logos, trade names, designs, text, graphics, software, and other materials on or available through the Site (collectively, “Cinovatech Content”) are owned by Cinovatech, Inc. or our licensors and are protected by U.S. and international intellectual property laws.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your internal business evaluation and informational purposes. Except as expressly permitted, you may not copy, modify, distribute, sell, lease, publicly display, or create derivative works from Cinovatech Content without our prior written consent.

“Cinovatech,” related logos, and product names are trademarks of Cinovatech or its affiliates. Third-party names and marks (including channel partners and technology vendors referenced for informational or go-to-market context) are the property of their respective owners. Reference does not imply endorsement except where we expressly state a partnership.

8. User Submissions

If you submit feedback, ideas, suggestions, questions, materials, or other content to us through the Site (“Submissions”), you grant Cinovatech a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, and otherwise exploit such Submissions for any business purpose, without compensation or attribution to you, to the extent permitted by law. You represent that you have all rights necessary to grant this license and that your Submissions do not infringe third-party rights or contain confidential information of another party unless you have authority to disclose it.

Do not submit information you are not authorized to share. Product evaluations involving customer or plant data should occur under a separate NDA or services agreement, not via general website forms.

9. Third-Party Sites and Services

The Site may link to or integrate third-party websites, tools, or services (for example, analytics, CRM/form providers, video, calendar, or partner sites). We do not control and are not responsible for third-party content, policies, or practices. Your use of third-party services is subject to their terms and privacy policies. Links do not constitute endorsement.

10. Disclaimer of Warranties

THE SITE AND ALL CINOVATECH CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, CINOVATECH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT CONTENT WILL BE ACCURATE, COMPLETE, OR CURRENT.

Product descriptions, roadmaps, case studies, metrics, and timelines on the Site may change and are not guarantees. Any warranties for paid products or services appear only in the applicable customer agreement.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CINOVATECH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID US SOLELY FOR ACCESS TO THE SITE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (IF ANY), WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED.

12. Indemnification

You will defend, indemnify, and hold harmless Cinovatech and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site; (b) your Submissions; (c) your violation of these Terms or applicable law; or (d) your infringement or misappropriation of any third-party right.

13. Copyright / DMCA

If you believe content on the Site infringes your copyright, please send a notice consistent with the Digital Millennium Copyright Act to privacy@cinovatech.ai with: (1) your contact information; (2) description of the work claimed to be infringed; (3) URL or location of the allegedly infringing material; (4) a statement of good-faith belief; (5) a statement under penalty of perjury that the information is accurate and you are authorized to act; and (6) your physical or electronic signature. We may remove or disable access to material and, where appropriate, terminate repeat infringers’ access.

14. Privacy

Our collection and use of personal information in connection with the Site is described in our Privacy Policy, which is incorporated by reference. Please review it carefully.

15. Export and Sanctions

You may not use, export, or re-export the Site or related technical data except as authorized by U.S. law and the laws of the jurisdiction in which the Site is accessed. You represent that you are not located in a country subject to a U.S. government embargo and are not a prohibited or restricted party under U.S. sanctions or export-control lists.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of California, excluding conflict-of-law rules. Except where prohibited, any dispute arising out of or relating to these Terms or the Site will be resolved exclusively in the state or federal courts located in Orange County, California, and you consent to personal jurisdiction there.

17. Changes to the Site or Terms

We may modify the Site or these Terms at any time. Material changes will be indicated by updating the “Last Updated” date and, where appropriate, by additional notice on the Site. Continued use after changes become effective constitutes acceptance. If you do not agree, stop using the Site.

18. Suspension and Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including suspected violation of these Terms. Provisions that by their nature should survive (including intellectual property, disclaimers, limitations of liability, indemnification, and governing law) will survive.

19. Miscellaneous

These Terms constitute the entire agreement between you and Cinovatech regarding the Site and supersede prior agreements on that subject. If any provision is held unenforceable, the remainder remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, corporate reorganization, or sale of assets. Headings are for convenience only. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.
